Terms of Use

These Terms of Use (“Terms”) govern your access to and use of www.yaviaa.com and any related pages (the “Site”), operated by Yaviaa Beverage Group, Inc. (“Yaviaa,” “we,” “us,” or “our”). By visiting or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Who we are

Yaviaa is a functional beverage brand. The Site describes our products, brand, and company, and lets prospective investors request access to additional materials. We are not currently selling products directly through the Site; this may change as we launch, in which case additional commerce terms will be posted here.

2. Use of the Site

You may use the Site for lawful, personal, non-commercial purposes related to learning about Yaviaa and our products. You agree not to:

• Use the Site in any way that violates applicable law or regulation;
• Attempt to gain unauthorized access to the Site, our systems, or any related network;
• Interfere with or disrupt the Site's operation, including by introducing malware or attempting denial-of-service attacks;
• Scrape, harvest, or collect information about other users or visitors without their consent;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity, when submitting a form on the Site (including the investor request form);
• Use any automated system (bot, scraper, or similar) to access the Site in a manner that sends more request messages than a human could reasonably produce in the same period.

3. Intellectual property

The Site and its contents — including our name, logos, product names, can and packaging designs, photography, text, and the overall look and feel of the Site — are owned by Yaviaa or our licensors and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without our prior written permission.

4. Investor materials and requests

If you submit a request for access to investor materials through the Site, you represent that the information you provide is accurate and that you are submitting the request in good faith on your own behalf or on behalf of an entity you are authorized to represent. Submitting a request does not guarantee that we will share materials with you, enter into any agreement with you, or accept any investment from you. Any investor materials we may later share with you are confidential and subject to separate agreements (such as a non-disclosure agreement) between you and Yaviaa.

Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security, in any jurisdiction where such an offer or solicitation would be unlawful.

5. Product claims and health information

Statements about our products and ingredients on the Site describe the intended function of the product formulations and have not been evaluated by the Food and Drug Administration. Our products are not intended to diagnose, treat, cure, or prevent any disease. Information on the Site is provided for general informational purposes only and is not medical advice; consult a qualified healthcare provider with questions about your individual health needs.

6. Third-party links

The Site may link to third-party websites or services (for example, our social media profiles) that we do not control. We are not responsible for the content, policies, or practices of any third-party site, and linking to a site does not imply our endorsement of it.

7. Disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, YAVIAA AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless Yaviaa and its officers, members, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms or your misuse of the Site.

10. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date above reflects the most recent revision. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

11. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of those courts.
